These Terms of Service govern all website design, digital marketing, SEO, mobile money integration, mobile application development, hosting, and maintenance services provided by East Africa Website Designers to clients in Uganda, Kenya, Rwanda, Tanzania, and other countries. 1. Services

East Africa Website Designers agrees to provide the specific services outlined in the written project proposal, quotation, or service agreement provided to the client. Services not explicitly listed in the agreed scope are not included and will be quoted separately if required. Changes to the agreed scope during a project will be discussed and agreed in writing before additional work commences.

2. Payment Terms

Website design and development projects require a 50% deposit before work commences, with the remaining 50% due on project completion and delivery. Monthly retainer services (SEO, Google Ads management, website maintenance) are invoiced monthly in advance and are payable by the first of each month. Failure to pay within 14 days of invoice may result in suspension of services. We accept payment by MTN Mobile Money (Uganda), M-Pesa (Kenya), MTN Mobile Money (Rwanda), bank transfer, and international card payment. All invoices are in USD unless an alternative currency is agreed in writing.

3. Client Responsibilities

The client is responsible for: providing accurate content (text, images, brand assets) in a timely manner; responding to review requests and approvals within 5 business days; providing truthful information about the business, its services, and its legal status; ensuring the website content does not infringe any third-party intellectual property rights; and maintaining the security of any login credentials provided by East Africa Website Designers. Delays caused by the client’s failure to provide content or approvals may extend the project timeline without penalty to East Africa Website Designers.

4. Intellectual Property

Upon receipt of final payment, East Africa Website Designers transfers ownership of the completed website design and custom code to the client. The client retains ownership of all content they provide (text, images, logos). Third-party WordPress themes, plugins, and stock images remain subject to their respective licences and are not transferred — the client inherits the right to use these under the purchased licence terms. East Africa Website Designers retains the right to display completed work in its portfolio unless the client specifically requests otherwise in writing.

5. Revisions

Standard website design projects include two rounds of revisions. A revision round means consolidated feedback submitted in a single document or message. Revisions beyond the included rounds, or revisions that constitute a change to the agreed scope, will be quoted at our standard hourly rate. Revisions requested after the client has approved a design phase are treated as scope changes.

6. Hosting and Maintenance

Where East Africa Website Designers provides or manages hosting on behalf of the client, the client acknowledges that no hosting provider can guarantee 100% uptime. We will respond promptly to downtime events but cannot be held liable for losses caused by hosting provider outages, distributed denial-of-service attacks, or force majeure events. Monthly maintenance retainers cover the scope specified in the maintenance service agreement and do not guarantee that all software vulnerabilities or hacking attempts will be prevented.

7. Confidentiality

East Africa Website Designers treats all client business information, pricing, and project details as confidential. We will not disclose client information to third parties except where required by law, or where necessary to perform the services (for example, communicating with a hosting provider on the client’s behalf). Clients agree not to disclose East Africa Website Designers’ internal pricing, processes, or methodologies to third parties.

8. Limitation of Liability

East Africa Website Designers’ liability for any claim arising from services provided is limited to the amount paid by the client for the specific services giving rise to the claim in the preceding 3 months. We are not liable for indirect, consequential, or loss-of-revenue claims. The client is responsible for maintaining their own backups of all website content and data — while we include backup services in maintenance packages, we cannot be held responsible for data loss caused by third-party hosting provider failures.

9. Governing Law

These Terms of Service are governed by the laws of Uganda. Disputes shall first be resolved through good-faith negotiation. If negotiation fails, disputes shall be referred to arbitration in Kampala, Uganda, in accordance with the Arbitration and Conciliation Act (Uganda).
